Peter Lam serves as tax counsel for public finance transactions, primarily in the areas of affordable and mixed-income multifamily housing projects involving low-income housing tax credits, educational institutions, and health care facilities. For more than 10 years, Peter has been at the forefront of the financing and development issues arising from New York City’s multi-family affordable housing projects.
Prior to joining McCarter & English, Peter practiced at a national bond counsel firm where he served as bond counsel to state and local issuers with respect to affordable and mixed-income multifamily housing projects, educational institutions, health care facilities, and energy conservation and public power projects. In the area of multi-family housing projects, Peter provided advice to issuers of over $10 billion of tax-exempt bonds that featured complex pooled financing transactions with parity bond indentures, private placements, and volume cap recycling. He conducted due diligence on multifamily housing projects by reviewing 95-5s and cost certifications as well as tax credit partnership agreements, bank reimbursement agreements, and guaranties. Peter served as tax counsel for tax-exempt or tax-advantaged bond financings of public power authorities projects, energy conservation projects, and 501(c)(3) non-profit hospitals and universities. He analyzed complex financing vehicles such as parity bond indenture financings of multiple projects loans, commercial mortgage-backed security structures, total return swaps, and private placement draw-down bonds. He also provided bond structuring solutions.
