Allen O'Neil helps cooperative, municipal and business clients address their energy transactional needs, including handling matters concerning power supply purchases, electric facility acquisition/development and operation, financing, and general corporate matters.
Allen guides clients in meeting their current and long-term power supply goals. He assists them with negotiating and drafting agreements pertaining to power supply, including power purchase agreements, construction and joint ownership agreements, power supply agreements, lease agreements, fuel supply agreements, Renewable Energy Credits transactions, equipment purchase agreements, and consulting and service agreements. This experience includes preparing agreements involving varied power sources, including thermal generation, solar, wind, hydroelectric, and biomass facilities.
In the financing arena, Allen has a rich background in secured and unsecured asset and corporate financing, representing clients in matters involving secured, unsecured, single lender and syndicated/multi-lender financing facilities. He helps clients negotiate and draft general purpose lines of credit and credit facilities for long- and short-term financing concerning the acquisition or construction of electric generation and transmission facilities. Allen has extensive experience in applying for and negotiating loans with the Rural Utilities Service, National Rural Utilities Cooperative Finance Corporation, and CoBank, ACB. Allen advises clients on post-loan compliance matters, including working with clients to obtain approvals, consents, and waivers when necessary.
